This CLE webinar will guide foreign investors' counsel on the current trends in global regimes overseeing foreign investments. The panel will discuss the mandatory reviews and how they may be evolving. The panel will also discuss the interplay with antitrust laws and offer best practices for navigating the review process.
Description
Cross-border investments have become a U.S. and global issue. The U.S. continues to enhance its national security reviews of foreign direct investments (FDI), and other countries are developing new regimes or mirroring the U.S. regime. FDI reviews tied to national security affect most industries as national security includes defense, intelligence, military matters, critical infrastructure, telecommunications, health, supply chain, cyber, biotech, and emerging technologies.
Almost all cross-border investment is subject to review. The narrow list of mandatory reviews prevents review of all 20,000 to 40,000 cross-border investments that need review. However, expanded scope and regulation of FDI are expected.
If the list of mandatory reviews expands, many investments that currently occur without CFIUS or other governments' FDI reviews may be subject to evaluation. Further, foreign investments need to consider the antitrust implications, as antitrust also has a national security overlay.
